These Terms form a binding contract between you and Amveric Financial LLC. If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Account Registration & Security

To access certain features of the Services, you must create an account by providing accurate, current, and complete information during the registration process. You agree to promptly update your account information to maintain its accuracy. Providing false, misleading, or outdated information may result in the immediate suspension or termination of your account without prior notice.

You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to use a strong, unique password and to enable multi-factor authentication where available. Amveric Financial LLC shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

You must notify Amveric Financial immediately upon becoming aware of any unauthorized access to or use of your account. We reserve the right to suspend or disable any account that we reasonably believe has been compromised, is being used in violation of these Terms, or poses a security risk to the platform or its users.

Services Description

Amveric Financial provides a comprehensive suite of personal financial management tools, including but not limited to: financial tracking and budgeting, investment portfolio management and analytics, credit card comparison and optimization, rewards program tracking, net worth monitoring, and personalized financial insights. Our platform is designed to aggregate, organize, and present your financial data to help you make more informed decisions.

We strive to maintain the availability and reliability of our Services; however, we do not guarantee that the Services will be uninterrupted, error-free, or available at all times. The platform may be subject to scheduled maintenance windows, system upgrades, or unforeseen outages. We reserve the right to modify, suspend, or discontinue any feature or aspect of the Services at any time, with or without notice, and without liability to you.

Certain features may be designated as "beta," "preview," or "experimental." These features are provided on an as-is basis and may be unstable, incomplete, or subject to significant changes. Amveric Financial reserves the right to investigate suspected violations of this Acceptable Use Policy and to take any action we deem appropriate, including but not limited to suspending or terminating your account, removing content, reporting activity to law enforcement authorities, and pursuing any available legal remedies.

Intellectual Property

All content, features, functionality, designs, text, graphics, logos, icons, images, audio clips, data compilations, software, and the underlying technology of the Services are the exclusive property of Amveric Financial LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The Amveric Financial name, logo, and all related marks are registered trademarks of Amveric Financial LLC.

Subject to your compliance with these Terms, Amveric Financial grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial financial management purposes. This license does not include the right to: (a) resell or commercially exploit any part of the Services; (b) reproduce, distribute, publicly display, or create derivative works from any platform content; or (c) use any data mining, robots, or similar data gathering or extraction methods on the platform.

By submitting, posting, or transmitting any content through the Services ("User Content"), you grant Amveric Financial a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and display such User Content solely for the purpose of operating, improving, and providing the Services. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not infringe upon the intellectual property rights of any third party.

Payment & Billing

Amveric Financial offers both free and paid subscription plans. By selecting a paid subscription, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are quoted in United States Dollars (USD) unless otherwise specified.

Paid subscriptions automatically renew at the end of each billing cycle unless you cancel your subscription prior to the renewal date. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period, and you will retain access to paid features until that period expires. No prorated refunds will be issued for partial billing periods unless required by applicable law.

Amveric Financial reserves the right to modify subscription pricing at any time. We will provide you with at least thirty (30) days' advance notice of any price increase. If you do not agree to the new pricing, you may cancel your subscription before the new rate takes effect. Your continued use of paid Services after the price change constitutes your acceptance of the updated pricing.

All payment processing is handled by third-party payment processors. By providing your payment information, you authorize us and our payment processors to charge the applicable fees to your designated payment method. You are responsible for ensuring that your payment information is current and valid. Amveric Financial is not responsible for any fees charged by your bank or payment provider in connection with your use of the Services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMVERIC FINANCIAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

In no event shall the total aggregate liability of Amveric Financial LLC for all claims arising out of or relating to these Terms or the Services exceed the greater of: (a) the total amount you have paid to Amveric Financial in subscription fees during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States Dollars ($100.00).

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Amveric Financial does not warrant that the Services will meet your requirements, be secure, or operate without interruption or error.

Amveric Financial shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, labor disputes, power failures, internet or telecommunications outages, cyberattacks, or failures of third-party service providers (collectively, "Force Majeure Events").

Indemnification

You agree to indemnify, defend, and hold harmless Amveric Financial LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of or access to the Services; (b) your violation of these Terms or any applicable law or regulation; (c) your violation of any third-party rights, including intellectual property, privacy, or contractual rights; or (d) any User Content you submit through the Services.

Amveric Financial reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such an event, you agree to cooperate fully with Amveric Financial in asserting any available defenses. You shall not settle any claim or matter without the prior written consent of Amveric Financial LLC.

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Services. Your indemnification obligations extend to any actions taken by third parties who access the Services through your account, whether or not such access was authorized by you.

Dispute Resolution

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You agree to submit to the personal and exclusive jurisdiction of the courts located in Wilmington, Delaware, for any litigation not subject to the arbitration provisions below.

Before initiating any formal dispute resolution proceedings, you agree to first contact Amveric Financial at legal@amvericfinancial.com and attempt to resolve the dispute informally for a period of at least thirty (30) days. During this informal resolution period, both parties agree to negotiate in good faith and to provide all information reasonably necessary to facilitate a resolution.

If the dispute cannot be resolved informally, you and Amveric Financial agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware. The arbitrator's decision shall be final, binding, and enforceable in any court of competent jurisdiction.

CLASS ACTION WAIVER: You and Amveric Financial agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You expressly waive your right to participate in a class action lawsuit or class-wide arbitration against Amveric Financial LLC. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

Termination

Amveric Financial reserves the right to suspend or terminate your account and access to the Services, in whole or in part, at any time and for any reason, including but not limited to: violation of these Terms, fraudulent or illegal activity, extended periods of inactivity, non-payment of subscription fees, or upon request by law enforcement or other governmental authorities. We will endeavor to provide reasonable notice before termination where practicable, but we are not obligated to do so.

Upon termination of your account, your right to access and use the Services will immediately cease. Amveric Financial may, at its discretion, delete your account data, including but not limited to your financial records, preferences, and User Content, within a commercially reasonable timeframe following termination. You may request a copy of your data prior to account closure, subject to our data retention policies and applicable law.

The following provisions of these Terms shall survive termination: Intellectual Property, Financial Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and any other provisions that by their nature are intended to survive. Termination shall not relieve you of any obligations incurred prior to the effective date of termination, including any payment obligations.

Modifications to Terms

Amveric Financial reserves the right to modify, amend, or update these Terms of Service at any time and at our sole discretion. When we make material changes to these Terms, we will update the "Effective Date" at the top of this page and take reasonable steps to notify you, which may include sending an email to the address associated with your account, displaying a prominent notice within the platform, or posting a notification on our website.

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue your use of the Services and close your account. It is your responsibility to review these Terms periodically to stay informed of any changes.

For material changes that significantly affect your rights or obligations, we will provide at least thirty (30) days' advance notice before the changes take effect. Non-material changes, such as corrections to typographical errors or updates to formatting, may be made without prior notice.
